Santiago, August 21, 2026 – After having received all necessary regulatory approvals, Abra Group and Sky Airline have agreed to move forward with a share exchange transaction, another important milestone in Abra’s vision to drive sustainable growth, strengthen regional connectivity, and expand access to air travel for millions across Latin America.
As a result, Sky’s shareholders will receive an ownership stake in Abra, while the ownership of Sky will be transferred to a new independent company that will oversee its operations. This structure ensures strong governance, preserves Sky’s autonomy, and minimizes disruptions for employees, customers, and business partners, mitigating the risks associated with the transaction.
A Shared Vision for the Future of Regional Aviation
Sky Airline will give the Abra Group increased economic presence in Chile and Peru, creating new opportunities to connect communities, promote tourism, and contribute to the region’s economic development.
This transaction marks a further step by Abra and Sky towards a common vision aimed at building broader, more accessible, and more efficient connectivity network for the region.
“This agreement is built on a solid foundation of operational excellence, respect for Sky Airline’s history, and a shared vision to strengthen air connectivity across Latin America,” said Holger Paulmann, Chairman of Sky Airline’s Board of Directors.
“The agreement with Sky Airline will represent another step forward for Abra, further strengthening our ability to meet the region’s mobility needs and extend the benefits of aviation to more people and communities,” said Adrián Neuhauser, CEO of Abra.
Abra’s strategy combines the organic growth of its companies with disciplined expansion opportunities, contributing to the development of a more integrated and connected air transportation system across Latin America.
While the agreement has been signed, the transaction will become effective upon closing, subject to the satisfaction of the remaining regulatory and customary conditions.
